Articles of association

The Articles of Association define important, legally binding parameters for the Clariant Group. They include, among other things, information on the company, the object of the company, share capital, and company bodies, as well as on the annual and consolidated financial statements, and distribution of profits. 

Clariant`s Articles of Association form the corporate framework of the company, which defines by law at a minimum the company name, purpose, capital, share value, and tangible assets. In addition, the Articles define, among other things, the procedure for calling shareholder meetings, shareholders` voting rights, corporate organs and powers vis-à-vis third parties, and the forms of publication for corporate notices.
